1. Introduction and Acceptance

Welcome to Smoke Studio ("we", "our", "the Company"). These Terms and Conditions ("Terms") govern your access to and use of the website smokestud.io, including our AI-powered validation tool "SmokeScan", and our agency services.

By accessing, registering, or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

2. Description of Service

Smoke Studio provides business idea validation services. This includes:

  • SmokeScan: An automated AI-driven tool that evaluates business ideas submitted by users, assigns a validation score, and suggests potential market experiments.
  • Agency Services: Consulting, market research, experiment design, rapid prototyping, and Minimum Viable Product (MVP) development services.

3. Accounts and Registration

To use certain features of SmokeScan, you must create an account by logging in through third-party providers (SSO) such as Google or Microsoft.

  • You are responsible for safeguarding the password and activities associated with your account.
  • You agree to provide accurate and complete information while using the service.
  • We reserve the right to suspend or terminate accounts that violate these Terms, use bots/scripts to abuse the tool, or input illegal or malicious content.

4. Intellectual Property of Your Ideas (User Content)

Your ideas belong to you. At Smoke Studio, we understand that confidentiality is critical for entrepreneurs. When you input descriptions, business models, or other information ("User Content") into SmokeScan:

  • You retain all intellectual property rights to your ideas.
  • You grant us a limited, non-exclusive, temporary license solely for the purpose of processing the information through our AI systems to generate your validation report.
  • Smoke Studio will NOT claim ownership over your ideas, will NOT sell them to third parties, and will NOT use them to build competing products.

5. Smoke Studio's Intellectual Property

All original content, features, platform functionality, "SmokeScan" code, evaluation methodology, designs, logos, and trademarks are the exclusive property of Smoke Studio and are protected by applicable copyright and intellectual property laws. You may not copy, reverse-engineer, or reproduce our platform without our explicit written consent.

6. Disclaimer of Warranties

Use of Artificial Intelligence: The reports, scores, and suggestions generated by SmokeScan are based on predictive Artificial Intelligence models. They are strictly for educational and guidance purposes.

  • Not Financial Advice: The results do not constitute professional, financial, legal, or investment advice.
  • No Guarantees of Success: A high score in SmokeScan does not guarantee your product will be a commercial success, nor does a low score mean your idea is destined to fail.
  • You assume all responsibility and risk when making business or investment decisions based on the reports generated by Smoke Studio or SmokeScan.

7. Agency Services and Payments

If you hire our custom agency services (market research, prototyping, MVP, etc.):

  • The scope, costs, payment methods, and delivery times will be defined in a separate commercial agreement, quote, or contract that will supplement these Terms.
  • Smoke Studio is committed to executing experiments rigorously, but does not guarantee conversion rates, sales, or positive market reception, as consumer response is ultimately out of our control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Smoke Studio, nor its directors, employees, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, resulting from:

  • Your access to or use of (or inability to access or use) the services.
  • Any conduct or content of any third party on the services.
  • Business decisions made by you based on your use of SmokeScan.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Mexico, without regard to its conflict of law provisions. Any legal dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of CDMX.
